• Assisted with a proposed cross-border sale of the entire share capital of a Malaysian engineering and technology business, valued at up to RM25.5 million with an earn-out.
• Assisted with drafting multiple Share Sale Agreements for a multi-entity acquisition and restructuring, including a primary acquisition for over RM3 million and en bloc subsidiary transfers.
• Assisted with drafting a Business Sale Agreement for a proposed RM4 million business carve-out and restructuring.
• Assisted and drafted a Share Sale Agreement, Shareholders’ Agreement and operating arrangements for a cross-border equity investment and joint venture.
• Assisted in researching and preparing legal opinions on a range of corporate, commercial and regulatory matters, including corporate structuring, licensing and foreign ownership, cross-border business operations, customs and Licensed Manufacturing Warehouse arrangements, data protection compliance, non-compete restrictions, association and NGO governance, and the regulatory treatment of proposed digital and financial business models in Malaysia.

• Assisted in civil proceedings for a foreign chrysanthemum breeder against a Malaysian nursery for infringement of protected plant varieties under the Protection of New Plant Varieties Act 2004.

• Assisted in drafting a Software Development Agreement for a Malaysian company’s engagement of a Hong Kong-based service provider to implement an enterprise resource planning system.
• Assisted in drafting the Hardware Supply and Software Agreement for a RM33.8 million turnkey healthcare procurement involving medical equipment, software implementation and related services.

Dispute Resolution

• Assisted in a broad range of contentious matters, including commercial and cross-border contractual disputes, employment and industrial relations proceedings, sports-related disputes, medical negligence, personal injury and probate matters. His experience includes drafting pleadings, affidavits, witness statements, written submissions, and views on quantum, as well as supporting case preparation, interlocutory proceedings and mediation.
