MahWengKwai & Associates’ Public Series Lunch Talks are organised once a month over lunch to inculcate knowledge and awareness, promote deliberations, for networking and to explore new strategic partnerships amongst our associates and clients.

On 22 August 2019, our Senior Associate, Ms Cassandra Nicole Thomazios from the firms’ Corporate Department spoke on “The Role of Directors under the Companies Act 2016”. The talk focused on private limited companies and took place in the context of the new Companies Act 2016.

In the presentation, Cassandra provided the key requirements for appointment and removal of directors under the Companies Act 2016 and the roles, duties and responsibilities of directors. It was also highlighted that directors have a duty to disclose and always act in the best interest of the company.

Finally, Cassandra also commented on current cases of fraudulent misrepresentation and improper use of position by directors which leads to civil and/or criminal liability. The talk was concluded with a message that “as a director of a company it is pertinent to follow the principles of disclosure and transparency”.
